What is CS?

In corporate hierarchy, Company Secretaries are very highly placed. They are an important cog in the wheel in maintaining company relationship between the board of directors and the different stakeholders of the firm. Institute of Company Secretaries of India (ICSI), New Delhi is the regulatory and authoritative body for CS responsible for implementing best practices in the industry.

The profile of a CS is multidisciplinary comprising rendering services as company’s legal expert, corporate governance and secretarial services, operations management, corporate planner and strategic planner, financial and capital markets, chief advisor and more.

CS is a highly accomplished career and successful candidates enjoy wide career prospects. The role of a CS in company hierarchy will involve the following functions.

  • They take active part in formulating company policies in accordance with government policies.
  • Their role is to ensure transparent and efficient corporate governance.
  • CSs are experts in company laws, industrial laws and government policies and often perform the role of advisor to the board of directors.
  • They are responsible for ensuring that the organization meets compliances at every stage.
  • The CS also functions as a liaising party between the different stakeholders of the company and helps conducting board of directors meetings at regular intervals.
  • He may be responsible for taking down meeting minutes and afterwards compiling reports for circulation.

CS Course At a Glance : Course is Divided into Three levels

  • Foundation Programme : Candidates who have passed Senior Secondary Examination (10+2) are eligible for admission to Foundation Programme.
  • Executive Programme : Graduates in any stream excluding Fine Arts or candidates who have passed the Foundation Examination are eligible to join Executive Programme.
  • Professional Programme : A registered student is admitted to the Professional Programme on passing the Executive Examination.

    2. Secretarial Audit, Compliance Management and Due Diligence
    3. Corporate Restructuring, Valuation and Insolvency

Module II

    4. Information Technology and System Audit
    5. Financial, Treasury and Forex Management
    6. Ethics, Governance and Sustainability

Module III

    7. Advanced Tax Laws and Practice
    8. Drafting, Appearances and Pleading
    9. Electives 1 out of 5 subjects
    9.1 Banking Law and Practice
    9.2 Capital, Commodity and Money Market
    9.3 Insurance Law and Practice
    9.4 Intellectual Property Rights - Law and Practice
    9.5 International Business - Law and Practice
The candidates are also required to complete the following trainings: -

  • Seven days Student Induction Programme (SIP) within six months of registration to the Executive Programme
  • 72 Hours Computer Training
  • Eight days Executive Development Programme (EDP) after passing Executive Programme ;
  • Fifteen months whole time training after passing Executive Programme;
  • Fifteen days training in a specialized agency such as Office of Registrar of Companies, stock exchange, commodity stock exchange, financial or banking institution or management consultancy firm, etc.
  • Fifteen days Management Skills Orientation Programme(MSOP).

After successful completion of examination and training, a candidate is conferred with Associate Membership of the ICSI.
